TERMS & CONDITIONS

Effective Date: May 5, 2026

1. ACCEPTANCE OF TERMS. By accessing, joining, or participating in the International Retreat Association (“Association,” “we,” “us,” or “our”), you (“Member,” “you,” or “your”) agree to be bound by these Terms & Conditions, including the refund policy in Section 6, along with our Privacy Policy, Disclaimer, and Standards of Practice & Code of Ethics. If you do not agree to these terms, you may not access or participate in the Association.

2. MEMBERSHIP OVERVIEW. The International Retreat Association is a professional membership organization designed to support retreat leaders, venues, and industry professionals through resources, community, and standards. Membership may include but is not limited to: access to digital resources and tools; participation in community platforms; invitations to events and masterclasses; and use of official Association branding (where applicable). We reserve the right to modify, expand, or adjust membership offerings at any time, subject to Section 7.

3. MEMBERSHIP TIERS.

4. ELIGIBILITY. Membership is open to individuals and businesses interested in participating in or supporting the retreat industry. By joining, you confirm that: you are at least 18 years of age; all information you provide is accurate and truthful; and you agree to uphold the Association’s Standards of Practice & Code of Ethics.

5. MEMBERSHIP FEES & BILLING. 

a. Essential / Annual Membership — $111/year. Billed annually and automatically renews each year on the anniversary of enrollment unless canceled before the renewal date.

b. Founding Membership — $444. One-time payment, available only to active Essential / Annual Members, limited to the first 100 qualifying members, and non-recurring unless otherwise stated in a future offering. The Founding Member upgrade cannot be purchased without an active Essential / Annual Membership.

c. Automatic Renewal Disclosure. Your Essential / Annual Membership renews automatically for successive one-year terms at the then-current annual rate unless you cancel before the renewal date. We will send a renewal reminder by email 30–60 days before each renewal date stating the renewal date, the amount to be charged, the method and deadline to cancel, and support contact information. You may cancel at any time [via your account dashboard / by contacting Support]. Cancellation stops future renewals but does not entitle you to a refund of fees already paid (see Section 6).

d. Pricing Changes. We reserve the right to change pricing for future members or future renewal terms. We will notify existing members by email of any pricing change affecting their renewal before it takes effect.

6.  REFUND POLICY. All membership fees are non-refundable. Because membership provides immediate access to digital resources, community, and limited-availability benefits, no refunds will be issued except where required by applicable law. Refunds for Leadership Council membership, if any, are governed solely by the separate Leadership Council Agreement.

7.  MODIFICATIONS TO THESE TERMS. We may update or modify these Terms from time to time. We will notify members by email of changes to these Terms. If you do not agree to a change, your sole remedy is to cancel your membership; you may cancel for that reason, but cancellation does not entitle you to a refund of any fees already paid. Your continued access to or participation in the Association after the effective date of a change constitutes acceptance of the updated Terms.

8. MEMBER CONDUCT. Members agree to: act with professionalism, integrity, and respect; engage in ethical business practices; communicate respectfully within the community; refrain from harassment, discrimination, or harmful behavior; and respect intellectual property and confidentiality. Violation of these standards may result in suspension or termination of membership.

9. STANDARDS OF PRACTICE. All members are required to adhere to the Association’s Standards of Practice & Code of Ethics. Failure to comply may result in warnings, temporary suspension, or permanent termination without refund.

10. GOOD STANDING. A Member is in “Good Standing” if, at the relevant time, the Member: (a) is current on all membership fees and any other amounts owed to the Association; (b) is in compliance with these Terms & Conditions, the Standards of Practice & Code of Ethics, and the Association’s other published policies; and (c) is not subject to any suspension or any pending or unresolved disciplinary, complaint, or enforcement matter under the Standards of Practice & Code of Ethics. The Association determines whether a Member is in Good Standing in its reasonable discretion. A Member who ceases to meet these conditions is not in Good Standing, and the Association may suspend, modify, or remove that Member’s membership benefits, badges, directory listings, profiles, and recognition as provided in these Terms and the Standards of Practice & Code of Ethics.

11. FAIR COMPETITION / ANTITRUST. Members may not use Association meetings, events, forums, directories, communities, masterclasses, working groups, or other Association activities to discuss, coordinate, agree upon, or exchange competitively sensitive nonpublic information regarding pricing, fees, discounts, commissions, compensation, vendor terms, customer allocation, market allocation, output, boycotts, hiring practices, or other matters that could restrict fair competition. The Association may interrupt, restrict, suspend, or terminate any discussion or activity that it determines may create antitrust, unfair competition, or similar legal risk.

12. NO GUARANTEES. The Association provides resources, connections, and opportunities; however, we do not guarantee business success or revenue, client acquisition or bookings, partnerships or collaborations, or specific results from participation. Each member is responsible for their own business decisions and outcomes.

13. INTELLECTUAL PROPERTY. All content provided by the Association—including but not limited to materials, templates, videos, and resources—is the property of the Association and is protected by copyright and intellectual property laws. Members may use materials for their personal or business use. Members may not resell, redistribute, or share materials without permission, or claim ownership of Association content.

14. COMMUNITY CONTENT, RECORDING & DATA RESTRICTIONS. Members may not record, transcribe, screenshot, scrape, download, copy, redistribute, or republish Association meetings, community discussions, member directories, private communications, trainings, resources, or other nonpublic content without written permission. Members may not use AI note-takers, bots, automated transcription tools, scraping tools, or similar technologies in Association meetings or platforms without prior authorization. Member contact information may not be harvested, exported, sold, or used for unsolicited mass marketing.

15. ACCOUNT SECURITY. Members are responsible for maintaining the confidentiality of their account credentials and may not share login credentials with any other person. Members are responsible for all activity that occurs under their account. If a member becomes aware that their account has been compromised, they must notify the Association immediately. The Association is not liable for any loss or harm resulting from unauthorized account access, and a member’s failure to maintain credential security does not relieve the member of responsibility for activity that occurs under their account.

16. USE OF BADGES & BRANDING; NON-ENDORSEMENT. Members may use official Association badges and branding only while their membership is active and in good standing. Badges may not be misused, altered, or used in a misleading or deceptive way, and the Association reserves the right to revoke usage at any time. Membership, Founding Member status, badge use, directory placement, spotlight features, podcast appearances, speaking opportunities, or other visibility benefits do not constitute certification, accreditation, licensure, endorsement, approval, supervision, or recommendation by the Association. Members may not state or imply that the Association has certified, vetted, approved, guaranteed, or endorsed their services unless the Association separately grants a written credential under an established credentialing program.

17. TESTIMONIALS, REVIEWS & AFFILIATE DISCLOSURES. Testimonials, member spotlights, reviews, podcast clips, success stories, and promotional references used by or in connection with the Association must be truthful, not misleading, and used only with the subject member’s express written permission. Any paid, affiliate, sponsored, reciprocal, or otherwise material relationship between the Association and any member or third party featured in Association content must be disclosed as required by applicable law, including applicable FTC guidelines.

18. FOUNDING MEMBER RECOGNITION. Founding Member recognition is intended to provide ongoing historical recognition as part of the Association’s founding member cohort. However, all public listings, directory features, badge rights, promotional references, and recognition benefits remain subject to the member’s continued good standing and may be suspended, modified, or removed if the member violates Association policies, misuses Association branding, engages in conduct harmful to the Association or its community, or if continued recognition would be unlawful, misleading, or inconsistent with the Association’s mission.

19. LEADERSHIP COUNCIL. The Leadership Council is an invitation-only advisory body, separate from Essential / Annual and Founding membership. Leadership Council membership is offered by invitation only and is governed by a separate written Leadership Council Agreement that supplements these Terms. In the event of a conflict between these Terms and a signed Leadership Council Agreement as to a Leadership Council member’s participation, the Leadership Council Agreement controls.

20. EVENTS. Registration for and participation in Association events—including retreats, workshops, masterclasses, and in-person gatherings—may be subject to additional event-specific terms presented at the time of registration, including terms governing registration and capacity, cancellation or rescheduling, event-specific refunds, travel and lodging responsibility, venue and vendor rules, health and safety, media and photography release, accessibility requests, and third-party facilitator disclaimers. 21. TERMINATION OF MEMBERSHIP. We reserve the right to suspend or terminate membership at any time for violation of these Terms, violation of the Standards of Practice & Code of Ethics, or behavior that harms the Association or its members. No refunds will be issued upon termination, except as expressly provided in a separate Leadership Council Agreement.

22. LIMITATION OF LIABILITY. To the fullest extent permitted by law, the Association shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from use of the website or membership, participation in events or community, or reliance on information provided. All participation is at your own risk. To the fullest extent permitted by law, the Association’s total aggregate liability arising out of or relating to your membership shall not exceed the amount of membership fees you paid to the Association in the twelve (12) months preceding the event giving rise to the claim.

23. THIRD-PARTY LINKS & SERVICES. The Association may provide access to third-party services, partners, or resources. We are not responsible for third-party content, services provided by others, or the outcomes of external engagements.

24. PRIVACY. Your use of the Association is also governed by our Privacy Policy. We are committed to protecting your personal information and using it responsibly.

25. DISPUTE RESOLUTION. Any dispute, claim, or controversy arising out of or relating to these Terms, your membership, or any Association activity (each, a “Dispute”) shall first be submitted to the parties for good-faith informal resolution. If the Dispute is not resolved informally within thirty (30) days of written notice, it shall be resolved by binding arbitration administered by a nationally recognized alternative dispute resolution provider—such as the American Arbitration Association, JAMS, or another provider designated by the Association—with proceedings conducted in Salt Lake City, Utah. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party waives any right to bring or participate in any class action, collective action, or representative proceeding. Nothing in this section limits either party’s right to seek injunctive or other equitable relief in any court of competent jurisdiction for matters involving intellectual property, confidentiality, badge or brand misuse, or misuse of member data, pending resolution of the underlying Dispute through arbitration. Claims that fall within the jurisdictional limits of the small claims court in Salt Lake County, Utah are exempt from the arbitration requirement.

26. GOVERNING LAW. These Terms & Conditions are governed by and interpreted in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles.
